Revised AIM rules for companies

On 5 August 2026 the London Stock Exchange published revised guidance for companies regarding AIM rules and AIM rules for Nominated Advisors, seeking to reduce burdens on AIM companies. The headlines include;

  • AIM companies no longer need to adopt or comply with a recognised corporate governance code.
  • An accelerated admission route is now available for companies from a wider range of jurisdictions.
  • More support by way of a temporary suspension for existing AIM companies looking to undertake an equity fundraising.
  • Acquisitions will now only be classified as ‘reverse takeovers’ where they fundamentally change the company’s business, board or voting rights. The substantial transaction threshold has risen from 10% to 25%.
  • An opinion is no longed needed by NOMADs regarding founder led companies where contractual protections are reasonable on non standard director remuneration. In addition, special voting shares are permitted on admission for a founder led company, with no time limits attached.
  • Admission documents may incorporate publicly available information by reference. Working capital statements have been replaced with disclosures on capital resources, funding needs, and financial obligations. UK companies may use UK GAAP instead of IFRS if they so wish.
